    Consumer Banking Business - means the consumer banking activities of BHW, comprising the Credit Cards Business, the Deposits Business, the BHW Brokerage Business, the Wealth Management Business, the Loans Business, the Insurance Distribution Business and the Micro Business Banking Business, in each case in Poland but excluding any activities of the Retained Business.

    Transfer/merger - the transaction described in detail in Citi Handlowy’s current report no. 32/2025 dated 25 July 2025, which includes the demerger of Citi Handlowy through the separation of its consumer banking business in accordance with the procedure set out in Article 529 § 1(5) of the Polish Commercial Companies Code and Article 124c of the Polish Banking Law, and its transfer to VeloBank (pursuant to Article 531 § 1 of the Commercial Companies Code, VeloBank will take over the retail banking business on the Transfer Date).

    Transfer Date - the date of registration of the increase in VeloBank’s share capital through the issuance of demerger shares to Citi Handlowy in connection with the execution of the Transfer.
