Citi Handlowy completes sale of consumer banking business.
Bank continues to focus and support institutional clients.

Citi Handlowy announced today it has completed the sale of its consumer banking business to VeloBank. The demerger was registered in the National Court Register on June 12, at which point retail customers formally became clients of VeloBank. An operational migration of all related systems and processes will take place over the weekend of June 13-14.

As a result of this transaction, the consumer banking business is transferred to VeloBank. Citi Handlowy remains focused on the continued growth of institutional client business to continue serving institutions in Poland and globally.

The price for the consumer banking business to VeloBank includes a fixed price component which was recognized in the bank’s results in the second quarter of 2025, and a variable component which will be calculated based on final business volumes. Citi Handlowy will announce the final adjusted sale price in a current report.
The sale includes wealth management, micro business banking, credit cards, consumer loans, deposits and assets under management and consumer clients of the brokerage business. In total, the transaction covers approximately PLN 6.1 billion in loans, PLN 22.2 billion in deposits, and PLN 10.7 billion in assets under management (as of the end of March 2026). Approximately 1,545 consumer banking employees, along with the branch network,
will also transfer to VeloBank. This will allow customers to continue their relationships with the same advisors they have worked with over the years. Citi Handlowy will remain listed on the Warsaw Stock Exchange. The bank aims to be one of the most efficient financial institutions in the Polish market and intends to continue its current dividend policy, allocating 75% to 100% of its net profits to dividend payouts. Citi Handlowy's Institutional Banking has been the bank's primary source of revenue since its founding 156 years ago. In 2025, it generated over 70% of the bank's revenues.
