Current Report No. 21/2007 on changes in the composition of the Supervisory Board of Bank Handlowy w Warszawie S.A.

Bank Handlowy w Warszawie S.A. informs that pursuant to Art. 386 § 2 in connection with Art. 369 § 4 of the Commercial Companies Code the Supervisory Board Member mandates of Stephen Long, Aneta Polk (the previous last name Popławska) and Susan Blaikie (the previous last name Dean) expired on 21 June 2007
The Ordinary General Meeting of the Bank, by way of resolutions of 21 June 2007, appointed Mr. Michael Schlein as Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. for a 3-year term and reappointed Susan Blaikie (previously Dean) and Aneta Polk (previously Popławska) as Members of the Supervisory Board of the Bank for another 3-year term.

Susan Blaikie (previous last name - Dean) is the Chief Financial Officer and Head of Finance, technology and Operations of Citi Markets and Banking in EMEA, with responsibility for over 9,000 staff across the Bank. In addition she is the leading CFO for Citi’s businesses across the EMEA region, stretching from Europe through the Middle East and Russia to Africa. Susan is also a member of the EMEA Operating Committee, Citi’s Pension Advisory Board, Citi EMEA’s Governance Committee and Citi’s UK Legal Vehicles Audit Committee. Susan also sits on the Supervisory Board of Bank Handlowy and she is the Vice Chair of the Bank Handlowy Audit Committee.

Susan first joined Citi’s legacy firm, Salomon Brothers, in 1987 as a Vice President in the Management Information Group. In 1993, she was promoted to Director of Operations and in July 1996 she became Controller, overseeing approximately 180 staff covering financial and regulatory reporting, product control and planning for the bank. She was promoted to Managing Director in 1998 and in October 2000 became CFO of Schroder Salomon Smith Barney, Citi’s investment banking business in EMEA. Prior to joining Salomon Brothers, Susan worked for Merrill Lynch’s Strategy Group.

In addition to her business responsibilities Susan Blaikie is a leading supporter of the EMEA division of Citi Women, the internal network that supports female executives within the bank. She also sits on the Steering Committee of CitiDifference, supporting the complete range of Citi’s diversity initiatives.
Susan Blaikie is not engaged in any activity that is competitive with the Bank and she is not listed in the Register of Insolvent Debtors.

Aneta Polk (previous last name – Popławska) is the General Counsel of Global NRI Wealth Management based in London. In this role she is part of the management team of Global NRI responsible for all legal and regulatory aspects of this global business both in International Citi franchise as well as in North America.
 Prior to that Aneta was Deputy General Counsel EMEA GCG General Counsel EMEA Consumer based in Brussels. In her role she is concentrating on M&A and divesture activity of the bank as well as global and regional strategic projects within Global Consumer Bank.  Previous to her positions in Consumer Bank, Aneta was a Deputy Geographies Counsel for EMEA at Citigroup Global Corporate & Investment Bank, based in London.  Aneta provided legal support for the European, Middle East and African Corporate and Investment Bank businesses by integrating products offered and managed out of London (EMEA) with geographies/countries within CEEMEA.  In her role she was also providing support in co-ordinating CEEMEA countries with Western Europe to help to integrate them into the EMEA Region.

Aneta Polk also assisted with Citigroup mergers and acquisitions in Central and Eastern Europe, and post merger corporate and business integrations, most notably for Bank Handlowy in Poland.  During her term in London, she additionally served as a Counsel to Citibank Islamic Bank supporting its EMEA business.

In the past, Aneta was General Counsel of Citibank Poland and later General Counsel of Bank Handlowy in Poland.  In her role as Bank Handlowy General Counsel she also had direct responsibility for supervising local Consumer business, Corporate and investment bank, asset management, pension funds and insurance.

Before Aneta joined Citigroup in January 1997, Aneta was in private practice at Dewey Ballantine where she worked on a broad range of matters including privatisations, M&A, debt and equity offerings and corporate finance. Aneta qualified as an attorney in 1992.

Aneta Polk is not engaged in any activity that is competitive with the Bank and she is not listed in the Register of Insolvent Debtors.

Michael Schlein became President of International Franchise Management in January 2007. In this role, he is responsible for the effective functioning of our international governance, including the global Citi Country Officer structure. He works with the regional CEOs and their teams on franchise-related issues and coordinates the effort to prepare for significant growth in key countries by strengthening and integrating our key franchise-related functions. In addition, as Executive Director of the Citi Business Practices Committee, Michael manages the effort to embed Citi's standards of integrity, professionalism, and ethics throughout the company. He is a member of Citi's Management and Operating Committees. He is also a member of the Board of Directors of Citibank, N.A.
Michael began his career at Citi in 1984 in Smith Barney's Public Finance Investment Banking Division before serving a number of years in the public sector. From 1989 to 1993, Michael was Chief of Staff to the New York City Deputy Mayor for Finance and Economic Development. In that role he was responsible for designing and implementing New York City's economic development and finance policies. Michael hen joined the U.S. Securities and Exchange Commission, the federal agency responsible for regulating and policing the U.S. capital markets, as Chief of Staff. Working closely with chairman Arthur Levitt, Michael managed the day-to-day operations of the Commission, which had 3,000 employees and a $300 million budget. In 1995, Michael received the Chairman's Award for Excellence, the highest award presented by the SEC.

Michael returned to Citi in February 1997, where he eventually oversaw Citi's Global Corporate Affairs, Human Resources, and Business Practices. Corporate Affairs includes public relations, corporate communications, and philanthropy. Human Resources includes workforce development, recruiting, compensation and benefits, and efforts to promote diversity.

Michael holds a bachelor's degree in economics and a master's degree in political science from the Massachusetts Institute of Technology. Michael Schlein is not engaged in any activity that is competitive with the Bank and he is not listed in the Register of Insolvent Debtors.
