Legal basis: § 97 section 4 of the Ordinance of the Minister of Finance on current and periodical information provided by issuers of securities dated 19 October 2005 (Journal of Laws of 2005, No. 209, item 1744).

Bank Handlowy w Warszawie S.A. informs that following the obtainment of the approval of the Commission for Banking Supervision by the Bank, the District Court for the Capital City of Warsaw, 12th Business Division of the National Court Register, by way of Decision issued on 30 August 2007, reference symbol of files WA.XII NS-REJ.KRS/0024797/07/722, delivered to the Bank on September 11, 2007, registered the amendments to the Bank’s Articles of Association adopted at the Ordinary General Meeting of Shareholders held on June 21, 2007 consisting in: adding item 10 in § 18 section 1 of the Articles of Association, marking the existing wording of § 24 as section 1 and adding sections 2 and 3, and changing the wording of § 39. The Commission for Banking Supervision has not approved the amendment to the Bank’s Articles of Association consisting in marking § 15 as section 1 and adding sections 2-4 in the wording adopted at the Ordinary Meeting of Shareholders held on June 21, 2007. Consequently, Resolution No. 21 of the Ordinary General Meeting of Shareholders regarding amendments to the Articles of Association of the Bank has not come into force.
